General Counsel in India for US International Pharma Company

Responsibilities of General Counsel – India:

Compliance Responsibilities:

  • Ensure compliance with international anti-corruption and trade laws
  • Implementation/maintenance of the compliance program, including oversight with company policies
  • Ensure delivery of training of personnel on such policies and procedures
  • Coordination of due diligence of third-party business partners and approval of third-party business partner contracts
  • Oversee compliance with Indian excise tax, import and export laws and regulations
  • Oversee compliance with obtaining and maintaining local business licenses and permits
  • Taking actions as may be appropriate to investigate potential violations of Company policies and procedures
  • Regularly communicate the effectiveness of the compliance program at the local Indian level, key risks and mitigation activities, and opportunities for improvement of the program

Legal Responsibilities:

  • Provide local legal support for day-to-day activities of the Company’s operations, including, as needed:
    • Contracts, facilities, financial reporting, employment/labor laws, procurement, import/export, litigation management, document retention
  • Support the U.S. Intellectual Property team for the generics division by coordinating document production
  • Develop and recommend the Company’s policy and position on legal issues and improvements in operating policies and procedures
  • Represent the Company before any legal, governmental, labor, industrial or revenue authority
  • Retain/oversee local counsel in Chennai

Company Secretary Responsibilities:

  • Perform the duties of a company secretary as that position is defined by Section 2(45) of the Companies Act, 1956, including:
    • Authenticating documents and proceedings
    • Signing the Company’s annual return, balance sheet, profit and loss account and other related documents, and share certificates
    • Filing with the Registrar of Companies (“ROC”) a return under Section 5(g) of the Act and verifying an instrument creating or evidencing a charge on the Company’s property to be filed with the ROC
  • Administer and maintain Company records and ensure compliance with applicable regulations, including:
    • Sending notices of the meetings of board of directors and general meetings and maintaining minutes of meetings
    • Maintaining relevant registers and statutory records
    • Filing various returns and agreements required to be filed under the Companies Act, 1956; and
    • Ensuring due compliance with the various provisions of the Companies Act, 1956; the Securities and Exchange Board of India Act, 1992; the Competition Act, 2002; the Consumer Protection Act, 1986; the Depositories Act, 1996; the Income Tax Act, 1961; and other laws, rules and regulations applicable to the Company

Requirements of General Counsel – India:

  • Registration as an attorney
  • Membership in the Institute of Company Secretaries of India and qualification to be appointed as a full-time company secretary pursuant to the Companies (Appointment and Qualifications of Secretary) Rules, 1988, or a commitment to undertake the necessary coursework and certifications to obtain such qualification
  • Language skills: English is corporate language….. also prefer Tamil but not required
  • 8+ years’ experience handling legal, compliance, and corporate secretary duties
  • Industry experience preferred: pharmaceutical, biotechnology, medical device (other industries will be given consideration)

Relocation Policy:

Relocation to Chennai will be provided by client
